Adani Controversy: Key Whistleblower Allegations in Azure Bribery Scandal

The Adani Group, one of India’s leading conglomerates, is under scrutiny as US prosecutors accuse Gautam Adani and others of orchestrating a $265 million bribery scheme to secure energy contracts. The allegations, revealed by the US Attorney for the Eastern District of New York and the FBI, have sparked a political uproar in India.

The case originates from a May 2022 whistleblower complaint at Azure Power, which flagged potential corruption through the company's internal reporting mechanism. Named in unsealed court documents, Gautam Adani and former executives of Azure Power are accused of involvement in the scheme. However, the Adani Group has strongly denied the charges, describing them as "baseless" and pledging to explore legal options.

Azure Power’s Role and Whistleblower Allegations

Azure Power’s regulatory filings to the US Securities and Exchange Commission (SEC) show a history of internal complaints. In 2022, a whistleblower reported "improper payments and false statements" tied to a project subsidiary. Azure admitted to minor issues, such as "manipulation of project data" and vendor payment discrepancies, but denied the bribery claims, citing no evidence of direct payments to officials.

Another whistleblower report in September 2022 accused Azure of misconduct in joint ventures and land acquisition. An external inquiry found no corroborating evidence, according to Azure’s SEC filings. However, a subsequent disclosure in March 2024 acknowledged that third-party land aggregators "may have been involved in improper payments," though the company maintained no direct involvement in any irregular money transfers.

Azure’s Complex Network and Delisting

Azure Power Global Limited, headquartered in Mauritius, operates through 64 subsidiaries across India, the US, Singapore, and Mauritius. Subsidiary names, ranging from region-specific ones like Azure Power Rajasthan Pvt Ltd. to abstract titles like Azure Power Jupiter Pvt Ltd., add to the group’s opaque structure.

Azure’s financial troubles have also drawn attention. Its shares were delisted from the New York Stock Exchange (NYSE) in November 2022 due to delayed SEC filings. By April 2024, Azure announced that its US reporting obligations had been suspended following the delisting.

Political and Regional Implications

US prosecutors have linked the alleged bribery to energy contracts in states like Andhra Pradesh, Odisha, Tamil Nadu, Chhattisgarh, and the Union Territory of Jammu and Kashmir. Regional leaders, including those in Andhra Pradesh, have denied involvement but promised to investigate the claims.

The allegations against the Adani Group come as a blow to its reputation, but with legal investigations ongoing, the case is expected to unfold further in the months ahead.
