Patanjali Enters Insurance Business as IRDAI Clears Magma General Insurance Acquisition

Patanjali Ayurved, led by yoga guru Baba Ramdev, is set to expand beyond its traditional consumer goods business after receiving approval from the Insurance Regulatory and Development Authority of India (IRDAI) to acquire a majority stake in Magma General Insurance.

The proposed transaction, valued at around ₹4,500 crore, will be executed in partnership with the DS Group, a diversified conglomerate known for its food and confectionery brands. Once completed, the deal will mark Patanjali's debut in the financial services space.

Patanjali, DS Group to Take Control

As part of the approved arrangement, Patanjali Ayurved will purchase a 73.56 per cent stake in Magma General Insurance, while the DS Group will acquire 24.5 per cent. Together, the two companies will hold nearly 98 per cent ownership of the insurer by buying out the existing shareholders, led by Sanoti Properties LLP of the Adar Poonawalla Group.

The insurance regulator has granted approval for the acquisition with a validity period of three months, within which the companies are required to complete the transaction.

Diversification Beyond FMCG

The move represents a significant expansion for Patanjali, which has so far built its business around Ayurvedic healthcare products, packaged foods, personal care items and other fast-moving consumer goods.

Rather than applying for a fresh insurance licence, the company has opted to enter the sector by acquiring an established insurer with an existing customer base, operational infrastructure and regulatory approvals.

Market observers believe Patanjali's extensive retail network and widespread presence in rural and semi-urban regions could help strengthen the reach of insurance products in underserved markets.

Magma General's Growing Business

Magma General Insurance has recorded steady business growth over the past year. During FY26, the company reported gross written premiums of ₹3,615.48 crore, compared to ₹3,334.4 crore in the previous financial year.

The insurer offers products across several segments, including motor, health, property and commercial insurance. Its distribution network spans individual agents, corporate partnerships, financial institutions and automobile manufacturers.

Strategic Expansion into Financial Services

The acquisition highlights the increasing interest among large Indian business houses in entering the financial services sector through strategic takeovers instead of building new businesses from the ground up.

Once the acquisition is formally completed within the regulatory timeline, Patanjali will become one of the latest entrants in India's competitive general insurance market, adding a new vertical to its expanding business portfolio.
